Military veterans make up about 7 percent of Intel Corp.’s U.S. workforce, and if national data is any guide, anywhere from 11 percent to 20 percent of them may suffer from post-traumatic stress disorder. Claudia Weber, a U.S. Navy veteran who currently works as an information technology talent manager at Intel in Hillsboro, created the U.S. Veteran’s Resilience Program to support colleagues who are dealing with PTSD. Mako Medical Sets a Blistering Growth Pace and Tops the Fast 50 Three Years in a Row

Mako Medical once again set a new record by topping the Fast 50 for the third year in a row.

COLUMBIA, S.C. (PRWEB) December 25, 2018

Business Journal recognized the fastest growing private companies in the region. The Research Triangle is a highly competitive market for Life Science and Technology companies. The Triangle is also home to many investment funds and incubators for start-ups. This competitive environment makes it hard to stand out when so many companies are performing well. The Fast 50 winners were selected and ranked based on a formula that counts revenue and profitability in the preceding three years. The numbers are crunched and analyzed by PricewaterhouseCoopers. "Beyond bolstering the top-line performance and a nose for profitability, this list of companies represents the dynamic economic fabric of the Triangle," says Jason Christie, publisher of the TBJ. "We have a mixture of private firms that have made this list for years, and we have companies making this list for the first time. Collectively, they reflect the best of the best."

History was made again -- when it was announced that Mako Medical had won the top spot for the 3rd year in a row. A feat that has never happened anywhere in the country before. This is the second time Mako Medical has broken the record by being ranked #1 -- making them the only company in America to achieve this in the history of the awards. Mako Medical Laboratories has experienced explosive growth in the last few years and has quickly become a national favorite for over 50,000 medical providers around the country. Last year, Mako Medical became the first company ever to win Life Science Awards two years in a row. That same year, Mako Medical was also ranked as a Best Place to Work and announced a massive expansion with a new testing facility.

When asked about how Mako was achieving such growth Chad Price, President of Mako Medical answered with one word, "impact." Chad went on to explain that the entire purpose behind the creation of Mako Medical was to create funding for local nonprofits/charities, to employ military veterans, and to support Christan missionaries around the world. "It is why we do what we do. Some companies are focused on shareholder value. Others are focused on returns for their investors. We are focused on making an impact in others peoples' lives. The more we grow, the more people we can help. The more revenue we have -- the more funding we have to work with," says Chad. Today, Mako Medical supports over 472 different charities around the country, employs hundreds of military veterans, and supports over 80 Christian missionaries from Syria to Nigeria.

Mako Medical Laboratories is an award-winning laboratory with operations in over 12 states. Mako utilizes automation and robotics to complete some of the most difficult and rare diagnostic tests. Mako is known for its extensive community service, supporting over 400 local nonprofits and charities, hiring hundreds of military veterans and supporting over 80 international missionaries.

American Portfolios CEO Lon Dolber Named Hometown Hero by NHL’s New York Islanders

CEO and President Lon T. Dolber has been formally recognized by the NHL’s New York Islanders as a Hometown Hero, a program that celebrates people who make a difference in their local communities.

HOLBROOK, N.Y. (PRWEB) December 26, 2018

American Portfolios Financial Services, Inc. (AP) CEO and President Lon T. Dolber has been formally recognized by the NHL’s New York Islanders as a Hometown Hero, a program presented by New York Community Bank and the NYCB Family of Banks that celebrates people who make a difference in their local communities.

“While I, personally, reserve the term ‘hero’ for those courageous members of our society—police, firefighters, military servicemen and women—I would instead consider myself a good citizen,” Dolber states with humility. “I am extremely honored to be included among the program’s previous Hometown Heroes who believe, as do I, that giving back to the community is a responsibility each of us should make time in our lives to be engaged in. When I first started in business, my father said, ‘You must lead with a servant’s heart.’ I firmly believe that companies have an obligation to be socially responsible and to share that mission with their employees and their clients; leading by example often has the benefit of creating a trickle-down effect.”

Rather than focusing on the privately-held, independent broker/dealer that services financial advisors across the country, which Dolber established in 2001, he instead lent focus to an organization near and dear to his heart—The Center for Discovery (TCFD), an internationally-recognized research and innovation center that provides programs for nearly 1,200 people annually who have complex disabilities. During the New York Islanders vs. Pittsburgh Penguins matchup, which took place on Monday, Dec. 10, 2018 at the Nassau Veterans Memorial Coliseum in Uniondale, N.Y., Dolber was presented with a custom jersey emblazoned with the words “Hometown Hero” and the number 18 by former New York Islanders player Clark Gillies (Drafted 1974, Left Wing, No. 9), who is also deeply committed to social responsibility through The Clark Gillies Foundation, a non-profit corporation developed to help children who are physically, developmentally and/or financially challenged. AP staff members and guests of TCFD were present to witness the official Hometown Hero presentation and show support for Dolber and the firm’s steadfast commitment to corporate social responsibility.

Accompanying Dolber throughout the evening’s events was actor and TCFD board member Aidan Quinn, who was on hand to celebrate Dolber’s recognition and to promote awareness of the TCFD mission. During the pre-game show that aired on MSG+, Dolber and Quinn were interviewed by New York Islanders host and reporter Shannon Hogan, during which they shared their personal experiences with the organization as a means of further illustrating its cause. During the Hometown Hero event, a slideshow and short video highlighting TCFD aired on the Jumbotron for the sold-out game’s attendees to view.

Since 2010, Dolber has served as the organizational force behind the partnership with TCFD and World T.E.A.M. (WT), a non-profit organization that brings adaptive and able-bodied athletes together by empowering individuals through inclusive athletic events, and for which he serves as the vice chairman. On an annual basis, AP, TCFD and WT present the Adventure Team Challenge for TCFD residents, in which groups partake in a series of athletic, recreational and outdoor experiences to provide a sense of achievement and teamwork for those with significant physical and behavioral disabilities. Each year, a number of AP employees, affiliated investment professionals, friends and others volunteer to serve as team members and assist TCFD staff in providing essential logistical support to these events.

Recently, AP has entered into a five-year funding commitment -- made possible through the AP Foundation -- to develop and operate The American Portfolios Assistive Technology Lab, which is housed within TCFD’s Technology Hub and Incubator (THINC). The dedicated laboratory will spawn the development of new products, technologies and assistive devices that are intended to expand opportunities for individuals with a range of disabilities and complex conditions to experience and interact with nature and the outdoors, including sport, athletic and recreational activities.

In addition to his work with TCFD and WT, Dolber and AP support the following organizations: Virtual Enterprises International, Inc. (VEI), a non-profit organization that offers in-school experiential learning programs for high school students to form entrepreneurial, start-up businesses within a live global simulated setting; Thame Sherpa Heritage Fund, which supports community efforts in the Thame Valley, Nepal, focusing on short- and long-term earthquake recovery; The Butterfly Effect Project, a free program that empowers young girls by giving them the tools to assist in achieving emotionally-stable and self-confident futures; and Honor Flight Long Island, a non-profit organization created solely to honor America's war veterans for their sacrifices by flying them to Washington, D.C., to visit their war memorials.

Mako Medical Partners With Gokart Kids and Gokart Transportation to Provide Rides for Children and Patients

Mako Medical partners with new rideshare programs that focuses solely on children and patients-- GoKart Kids and GoKart Transportation.

ATLANTA (PRWEB) December 26, 2018

Mako Medical Laboratories announced a partnership with GoKart Kids and GoKart transportation today. GoKart Kids and GoKart Transportation is a transportation service similar to Uber and Lyft but focuses only on children and patients. This service caters to those that need special attention and works just like the other ride sharing programs. The app can be downloaded from the itunes store and allows parents or patients to book and track rides for their loved ones.

GoKart Kids and GoKart transportation has been featured on Fox, ABC, NBC, CNN, and in several magazines around the country. It fills the void by providing safe, reliable transportation for busy moms and dads or for patients that need a ride for a follow-up appointment or when no one is available to take them. Unlike other ride sharing programs--GoKart Kids and GoKart transportation hires off duty police officers, EMS workers, and Fireman. Each vehicle is thoroughly inspected, and every driver is thoroughly back ground checked and fingerprinted. In addition to the thorough inspections--GoKart Kids and GoKart Transportation provides insurance on every ride. An industry first!

"We are excited about this new partnership. This service fills a huge void in the health-care market. Most medical practices still have a 20% no show rate because patients still struggle to find reliable transportation. The fact GoKart Kids and GoKart Transportation focuses on children made our team feel very comfortable partnering with them. We wanted a more through inspection of the vehicles that our families and patients would be traveling in, we also wanted drivers that were more thoroughly vetted, and wanted insurance on each ride.

The other national ride-share programs don't offer that", says Chad Price President of Mako Medical. Mako Medical has also started offering the service to its employees as a company benefit. "We have lots of busy moms and dads--this allows them to coordinate transportation to daycare, after school events for their kids, and sporting events without ever having to leave the office", says Price.

Mako Medical is an award winning laboratory and is ranked as one of the fastest growing health care companies in America. Mako focuses on laboratory and diagnostics services and has operations in 10 states. Mako is known for its extensive community service, hiring military veterans, and supporting Christian Missionaries around the world.

The contributions of an outstanding technician, educator, and local chapter dedicated to the highest standards of electronics excellence will be recognized during the ETA® International annual awards banquet at Education Forum in Las Vegas on March 7, 2019. Those deserving recognition for their dedication and enthusiasm for the electronics industry and their willingness to volunteer at a moment’s notice to represent their association will be honored during the special ceremony.

GREENCASTLE, Ind. (PRWEB) December 27, 2018

ETA International peer awards pay respect to industry professionals who promote the education and execution of the arts and sciences of electronics technology. ETA is the only professional trade association dedicated to the support of electronics technicians in the education and advancement of trained and certified electronics technicians.

Industry peers and colleagues will gather at ETA’s annual Awards Banquet during Education Forum on March 7th in Las Vegas, NV to celebrate those individuals deserving recognition for their dedication and enthusiasm for the electronics industry and their willingness to volunteer at a moment’s notice to represent their trade association.

Technician of the Year – This distinguished award is given in honor of the late Norris R. Browne, president of the National Electronic Association (NEA) and a service business owner. For outstanding service to fellow electronics technicians, the 2018 ETA Technician of the Year award is presented to Jason Eduardo Sandavol, PVI1, SWI, Ohio Power Solutions.

Nominated by ETA Renewable Energy Chairman Jay Warmke, PVI1, SWI, Blue Rock Station, Warmke said, “Eduardo is a living example of all the positive benefits the ETA technician programs hopes to achieve.”

After studying various careers, Sandavol found he was interested in solar energy. After completing the hands-on training and examination process, he interned at Blue Rock Station, a sustainable living center in Ohio, to get a more complete vision of green energy and career options in sustainable living.

During his internship, he attended a conference where he met with most of the solar installation companies operating in the state. Warmke said Sandavol impressed those company leaders with his enthusiasm, personable nature, and knowledge. The day he finished his internship, he was hired by Dovetail Solar and Wind as a Photovoltaic Installer. For the past two years, he has worked for Ohio Power Solutions, installing hundreds of systems and emerging as one of the most experienced and respected solar installers in the state. He has also obtained his Small Wind Installer certification from ETA. His next goal is to work towards getting his electricians license and hopes to open his own solar installation company.

“Eduardo believes that solar energy is a big part of cultural change that needs to happen to save the planet and he will be the first to testify that the ETA International certification process has literally changed his life,” Warmke said.

Sandavol currently serves on ETA's Renewable Energy Committee, providing valued field experience and insights into the development of current and future programs.

Educator of the Year – This prestigious award is named in honor of Wallace “Wally” Medeiros, PhD, CETma, a US Veteran, communications professional and instructor at Honolulu Community College and the U.S. military. For outstanding devotion in educating those pursuing careers in electronics and related fields, this award goes to John Young, CETsr, Veterans Assembled electronics, (Maryland).

Students nominating Young gave the following reason why he deserves this award (paraphrased):
“John is one of the finest instructors in the military, private and public sectors. His ability to teach and make electronics understandable is commendable. While dealing with several students at different phases of the course, he manages to make himself available to all by sharing his experience and knowledge in a professional and courteous manner. Those Veterans who came into his program with little to no knowledge of electronics are fortunate to have had such a great instructor. John Young makes Veterans Assembled Electronics a great place to learn.”

Chapter of the Year - For active involvement in the world of electronics, this award recognizes registered student and local chapters that support a continuance of dedication to both the association and the electronics field itself. Congratulations to Veterans Assembled electronics (VAe), Chapter #210, and its sponsor Robert Berlin, CETsr, in Orlando, FL. The 2018 ETA Chapter of the Year, VAe Chapter #210, has been a great training partner with ETA and has done everything possible to ensure its Veteran students have every possible opportunity to transition into successful civilian electronics careers.

ETA sincerely thanks all those deserving recognition for their dedication and enthusiasm for electronics and electronics-related technologies and their willingness to share their expertise to improve their association and industry vocations.

*Volunteering **in the Community*
American has a rich history of volunteerism, and team members annually donate their time and talents to a variety of efforts through Do Crew, the airline’s volunteer program. Team members earn AAdvantage^® miles through American’s Flights for 50 program. With 50 hours of volunteer work, team members are awarded 25,000 miles to allocate to their charity of choice.

“I’m proud to say that American fosters a culture of service,” said CLT-based Flight Attendant Sharon Johnston. “I first began volunteering with Do Crew about 10 years ago with Puppies in Flight, a partnership between American and Assistance Dogs International. Since then, I’ve helped transport more than 300 four-legged heroes to individuals in need — veterans suffering from post-traumatic stress disorder, children with autism and individuals with physical disabilities, among others. From puppy number one, I wondered why I hadn’t started sooner. I consider myself fortunate to have spent 40 years with a company that supports so many worthy causes and provides me the opportunity to pay it forward.”

*Disaster relief *
When disaster strikes, Team American steps up. In 2018, team members organized relief packing events in Charlotte, Chicago, Dallas, Miami and Phoenix. These events brought 27,000 hygiene comfort kits; 150,000 pounds of food; 1,000 pillows and blankets; 24,000 duvets; 38,000 pajamas and 11,000 mattress pads to those in critical need in the wake of Hurricanes Florence and Matthew as well as the California wildfires. Team Tulsa has organized American Red Cross blood drives since 1954. ‌‌‌‌‌‌‌‌‌‌‌‌Each year, they host five week-long events, collecting 400 to 500 units of blood. This puts the Tulsa blood drive among the top 20 blood drives in the nation. It’s also the longest-running blood drive in the state of Oklahoma and among the longest running nationally.

*Keeping it Local*
‍‌‌‌‌‌‌‌‌‍American supports organizations that matter most to our team members. To support this work, and ensure the greatest impact and reach, Regional Councils provide oversight at the local level. These teams operate in Charlotte, Chicago, Dallas-Fort Worth, Los Angeles, Miami, New York City, Philadelphia, Phoenix, Tulsa and Washington, D.C.

*Fundraising events*
In 2018, American raised more than $5 million through three major fundraising events: American Airlines Celebrity Ski, benefiting the Cystic Fibrosis Foundation; American Airlines Charity Golf, benefiting Answer ALS; and American Airlines Sky Ball, benefiting the Airpower Foundation, a nationwide organization dedicated to supporting members of the military and their families.

*International giving  *
American expanded its global presence for Community Relations through several key community initiatives in Mexico, including building an indoor playground for a children’s hospital and an outdoor playground for an elementary school south of Mexico City, as well as rebuilding 19 emergency homes for families affected by earthquakes.

*Military and Veterans Initiatives *
The Medal of Honor Foundation honors U.S. military heroes. American supports the Foundation and provides U.S. Medal of Honor recipients with access to elite amenities when they fly. American is the official airline of National Medal of Honor Day and, each March, transports Medal of Honor recipients and their loved ones from New York City to Washington, D.C. American also partnered with the Congressional Medal of Honor Foundation to support its Character Development Program, which provides teachers and students curriculum that explores the important concepts of courage, commitment, sacrifice, patriotism, integrity and citizenship and how these values can be exemplified in daily life.

As the official airline partner of the Gary Sinise Foundation’s Snowball Express program, American transported more than 650 Gold Star families (1,722 individuals) from 80 cities worldwide this month via more than 100 chartered and commercial flights. American’s 12 charter flights, all crewed by volunteer flight attendants and pilots, arrived at Orlando International Airport (MCO) from every corner of the country. During their five-day trip, families not only visited Walt Disney World, they also experienced inspirational programs that provided them critical peer-to-peer support.

Dulles, Virginia, Dec. 27, 2018 (GLOBE NEWSWIRE) -- Freedom Alliance, an organization supporting our nation’s military families and wounded service members, awarded $1.6 million in college scholarships to 398 students in 2018. Each of the students is the son or daughter of a military hero who lost his life or was severely injured in military service.

“We must never forget those who give themselves for the defense of our nation,” said Freedom Alliance President Tom Kilgannon. “Freedom Alliance scholarships accomplish two goals,” he explained, “they help with the cost of a college education, but more important, each scholarship is a reminder of a fellow American who made an extraordinary sacrifice.”

The total of 398 students who received scholarships is a 22 percent increase over 2017 when 327 students received scholarships from Freedom Alliance. Overall, Freedom Alliance has provided $14 million in scholarships to the children of Soldiers, Sailors, Airmen and Marines who have been killed or permanently disabled in a combat mission or training accident.

There are an estimated 7,000 children who have lost a parent in Operations Enduring Freedom and Operation Iraqi Freedom. Those under age 26 may be eligible for the Freedom Alliance Scholarship if they choose to attend college. To reach as many qualifying students as possible, Freedom Alliance continues to accept applications. Students interested in applying can find additional details online at www.FAScholarship.com/. This scholarship is awarded to undergraduate students once per academic year and is renewable for a total of four terms.

“The holiday season,” said Kilgannon, “is a difficult time for the families of the fallen and it’s important that we recognize that sacrifice. A Freedom Alliance Scholarship is a reminder to Gold Star students that their parent’s sacrifice will never be forgotten by a grateful nation.”

*About Freedom Alliance*

Freedom Alliance is a charitable organization which supports wounded troops and military families. Freedom Alliance has awarded more than $14 million in college scholarships to the children of military heroes killed or disabled in military service and spent millions more helping injured veterans and military families with recreational therapy, Marriage Retreats, care packages, mortgage-free homes, all-terrain wheel chairs and much more. JHL Biotech Announces First Patient Randomized in the Phase III Study of JHL1101 to Treat Diffuse Large B-Cell Lymphoma HSINCHU and WUHAN, Dec. 28, 2018 /PRNewswire/ -- JHL Biotech announced today that the first patient at Beijing Cancer Hospital has been successfully randomized in the Phase III study of JHL1101 to treat diffuse large B-cell lymphoma (DLBCL).

The Phase III study is a multinational, randomized, double-blind, positive-controlled, parallel group clinical study.  It compares the efficacy and safety of JHL1101 in combination with CHOP (J-CHOP) versus rituximab in combination with CHOP (R-CHOP) in patients with previously untreated diffuse large B-cell lymphoma. CHOP is the standard chemotherapy treatment for diffuse large B-cell lymphoma. The study is being conducted in Europe, China, and other parts of Asia.

JHL1101, a biosimilar product to rituximab which is a monoclonal antibody targeting CD20, is being developed by JHL Biotech for the treatment of non-Hodgkin's lymphoma (NHL), chronic lymphocytic leukemia (CLL), and rheumatoid arthritis (RA).

After completion of similarity assessment in quality attributes and preclinical, a pharmacokinetic (PK) study is being conducted in RA patients in Europe.  Earlier this year, the Chinese regulatory authority approved the clinical trial application of the Phase III study.

"Rituximab is an important biologic for the treatment of lymphoma and rheumatoid arthritis. Unfortunately, it is very expensive for patients and healthcare payers. JHL1101 would provide an affordable treatment for these patients," said Mr. Racho Jordanov, CEO, JHL Biotech. "This is a significant milestone for JHL, and a step forward in our goal to become a global leader in developing, manufacturing, and commercializing biologics."

In addition to JHL1101, JHL has several other biosimilars currently in or expected to be in clinical trials. These include:

· Bevacizumab biosimilar, JHL1149, used for the treatment of several cancers, the most common of which are metastatic colorectal cancer, non-small cell lung cancer, and ovarian cancer, as well as cervical cancer, renal cell carcinoma, and glioblastoma. Pharmacokinetics study in Europe has been conducted. Received clinical trial approval for Phase III in China in 2018.
· Dornase alfa biosimilar, JHL1922, to manage symptoms of cystic fibrosis. Pharmacokinetics study in Europe has been conducted. Expected Phase III trial in Europe in 2019.
· Trastuzumab biosimilar, JHL1188, to treat breast cancer. Expected pharmacokinetics study in Australia in 2019.

Here are the hedge-fund managers to watch in 2019 as the industry battles poor performance

Here are the hedge-fund managers to watch in 2019 as the industry battles poor performance· Hedge-fund managers struggled through 2018 as market volatility and fee pressure cut into returns and profits.
· The funds to watch in 2019 are a mix of well-known veterans, up-and-coming startups, and star traders ready to set out on their own.

Through the first half of 2018, hedge funds were getting along pretty well. The year did not finish on the same note.

The third quarter was the first three-month stretch in which fund closures outpaced launches in more than a year, and market volatility in October and November wiped out many managers' marginal gains for the year.

We talked to top hedge-fund consultants, recruiters, lawyers, and investors for their picks about the managers they'll be watching next year.

They include well-known names like Point72 Asset Management's Steven Cohen and AQR Capital Management's Cliff Asness in addition to lesser-known managers who are distinguishing themselves with unique strategies.

Here they are.

-Point72 Asset Management-

Cohen was back to managing outside investor money this year after a two-year ban he received in a government crackdown on insider trading that focused on his old hedge-fund firm, SAC Capital.

Cohen, known for winning just about any trade he makes, was not immune to the performance struggles that afflicted others in his industry, reportedly finishing flat for the year through November. His firm currently manages about $13 billion, including Cohen's personal fortune.

His multistrategy firm, with subunits running different styles of funds, will still be a big-time draw for both investors and analysts, said Jason Schulman, a partner at recruiting firm Long Ridge Partners. Investors at single-manager firms are starting to sour on the reliance of a single strategy or manager to produce returns, Schulman said, pushing them from funds mimicking Julian Robertson's Tiger Management to platforms like Cohen's.

"Money and investment professionals will flow to larger and more stable platforms," Schulman said. His firm is starting to get people to return their calls that had ignored them "for six, 12, even 18 months."

Point72 is ready to grow. The manager's new New York office in Hudson Yards is set to open in early 2019 and is 20% bigger than the combined space at its two Manhattan offices, both on Madison Avenue.-Voleon Capital Management-

The biggest fund founded with machine-learning techniques as the firm's core strategy is, asset-wise, nowhere close to threatening the biggest old-school stock pickers.

But this new type of fund — which is attracting "gamers, hackers, and people who have never played in the space before," according to Protégé Partners Chief Investment Officer Michael Weinberg — is pushing quants and old-school traders alike to reevaluate how they are getting and using data.

The biggest fund in the space is $2 billion Voleon Capital Management, which was founded in 2007 by Michael Kharitonov, who has a Ph.D. in computer science, and Jon McAuliffe, who has a Ph.D. in statistics. Instead of "having humans look at individual events within the marketplace," the firm's algorithms look at "persistent effects across large swaths of data," the firm's website reads.

And performance has reportedly been solid, posting annualized returns of roughly 10% since the fund first started trading in 2008 through 2017, despite losing money the first two years.-Kirkoswald Capital Partners-

Greg Coffey is beating the United Kingdom to the punch with his own Brexit, as the former star trader at GLG Partners is moving his trading desk for his hedge fund, Kirkoswald Capital Partners, to New York at the beginning of 2019.

The Australian fund manager retired in 2012 at the age of 41 to spend time with his family before launching Kirkoswald this year. The trader, who was once named the "Wizard of Oz" because of his trading success and Australian heritage, is reportedly concerned with London's role as a financial powerhouse post-Brexit. His concerns echo those of Brexit critics as well as other hedge-fund managers including Citadel's Ken Griffin, who in November said, "London's days as the epicenter of financial markets, for the time being, are now in its past."

Coffey has been confident in his abilities to raise outside capital and generate solid returns, reportedly telling investors in October that he managed about $500 million and expected it to double by the end of 2018. Another investor presentation said the firm has the capacity to manage $2 billion. Through the end of October, Coffey's flagship macro fund was reportedly up 6.2% the first six months of the year.

NOT FOR DISTRIBUTION TO UNITED STATES NEWSWIRE SERVICES OR FOR DISSEMINATION IN THE UNITED STATES. THIS NEWS RELEASE DOES NOT CONSTITUTE AN OFFER TO SELL OR A SOLICITATION OF AN OFFER TO BUY ANY OF THE SECURITIES IN THE UNITED STATES.· Offer valued at C$11.00 per Aphria share
· Significant and compelling 45.5% premium to Aphria’s closing price on December 24, 2018
· C$300 million concurrent financing in Green Growth at C$7.00 per share
· Creates the only large-scale operator to bridge U.S. and Canadian markets; no other Canadian LP operates at scale in both markets

COLUMBUS, Ohio, Dec. 27, 2018 (GLOBE NEWSWIRE) -- Xanthic Biopharma Inc. doing business as Green Growth Brands Ltd. (“Green Growth”) (CSE: GGB) announced today that it currently intends to make an offer (the “Offer”) to purchase all of the issued and outstanding common shares (the “Aphria Shares”) of Aphria Inc. (“Aphria” or the “Company”) (TSX: APHA and* *NYSE: APHA) which it does not already own.

The Offer will provide Aphria shareholders with 1.5714 common shares of Green Growth (the “Green Growth Shares”) for each Aphria Share and represents premiums of 45.5% over Aphria’s closing price on the Toronto Stock Exchange (the “TSX”) on December 24, 2018 and 46.0% over Aphria’s volume weighted average price on the TSX for the last 10 trading days ended December 24, 2018.  The Offer values Aphria at approximately C$2.8 billion (US$2.1 billion) based on a valuation of C$7.00 per share for Green Growth Shares.

“We believe our offer will create value for both Aphria and Green Growth shareholders.  We are confident that the significant premium we are offering and the opportunity to participate in the growth of a stronger, combined company are so compelling that we are taking our offer directly to Aphria’s shareholders.  Together, we can unleash synergies between our teams, assets and geographies, forming a combined enterprise that will accelerate our collective growth strategies in Canada, the U. S. and overseas,” said Peter Horvath, CEO of Green Growth.

Green Growth expects to complete a concurrent brokered financing of C$300 million, at a price per share of C$7.00, to both illustrate confidence in the value of the consideration under the Offer and to fund the business growth of the combined entity. Green Growth expects that certain of its existing shareholders will commit to backstop the C$300 million financing concurrently with the execution of a business combination agreement with Aphria or the take up of shares under the anticipated Offer.

Prior to announcing its intention to take the Offer directly to shareholders, Green Growth engaged Aphria’s board to attempt to negotiate a friendly business combination that included, among other things, a very short exclusivity period to allow both parties to seriously consider the combination; a full go-shop provision in favor of Aphria; and the preservation of Aphria’s management and commitment to board representation at the combined company.  Aphria’s shareholders should be aware that Green Growth offered that upon a friendly business combination with support from Aphria’s board, Green Growth would invest C$50 million in equity at an Aphria per share value of C$11.00.

*Why a Combined Green Growth and Aphria is Better for Shareholders*

Combining Aphria with Green Growth is the fastest way to create significant value for shareholders of both companies. The combined entity:

*Creates an Unparalleled North American Player with Canadian and U.S. Operations.* Aphria has a large footprint in Canada and supply agreements with all provinces and the Yukon Territory and strong strategic partnerships establishing wholesale supply agreements.  Green Growth operates vertically integrated cannabis operations including cultivation, manufacturing and retail assets in Nevada, including recently being awarded seven retail cannabis dispensary licenses.  Together, the pro forma company will have a strong foundation, extensive retail relationships and infrastructure to capture significant future growth as international markets evolve.

*Increases Scale, Footprint, and Creates the Preeminent U.S. Consolidator.* The combined company will be the largest U.S. operator by market capitalization and the only North American cannabis operator.

*Combines Aphria’s Cultivation and Production Capacity with Green Growth’s Retail Strength.*  The combined company will marry Aphria’s low-cost cultivation and near-term production capacity with Green Growth’s vast retail know-how to capture market share while maintaining lean margins.  Aphria’s current cash cost per gram is C$1.30 and is expected to further decrease to C$0.95 per gram with projected annual capacity of over 250,000 kg by early 2019 (Aphria  Q1 2019 Investor Presentation dated October 11, 2018). Green Growth’s strong management team has a proven track record of delivering at the retail level and is already operating a best-in-class dispensary in Las Vegas.

*Poised to Benefit from Transformational Cannabis-Related Regulatory Changes in the World’s Largest Cannabis Market.* Green Growth will soon be rolling out a consumer-focused line of CBD products, initially focused on topicals and balms, and is well-positioned to benefit from further pro-cannabis U.S. regulation in the near-to-medium term.

*Unites Best-in-Class Management Teams: Aphria’s Pharmaceutical and Greenhouse Operational Experience and Green Growth’s Proven Retail Expertise.* Aphria’s team is comprised of veterans in the greenhouse industry and proven operators of large pharmaceutical companies.  Green Growth’s CEO held senior positions at a number of well-known retailers including Designer Shoe Warehouse Inc. and L Brands Inc. (Victoria’s Secret).  Additionally, Green Growth’s largest shareholder, the Schottenstein family, has deep relationships in the retail sector.

*Benefits to Aphria Shareholders *

While Aphria shareholders may be discouraged by recent events and having seen their investment significantly impacted, they should be aware of the immediate benefits of the Offer and reasons to tender:

· Significant and immediate 45.5% premium to market price.
· Meaningful ownership position in a combined entity that is poised for further growth.
· Potential for further downward share price impact if the Offer is not accepted.

Green Growth believes it already has support for the Offer from Aphria shareholders holding approximately 10% of the outstanding Aphria Shares.  Green Growth has additionally acquired a meaningful toehold position in Aphria.

It is expected that following the Offering Green Growth will continue to be listed on the Canadian Securities Exchange under the symbol GGB.

Questions? Need more help? Aphria shareholders should contact Kingsdale Advisors, the information agent and depositary for the Offer, at 1-866-851-3214 (North American Toll-Free Number) or +1-416-867-2272 (Outside North America) or via email at contactus@kingsdaleadvisors.com.

*Intention to Make an Offer*

Full details of the Offer are expected to be set out in the formal Offer and take-over bid circular which is expected to be mailed to Aphria shareholders, a copy of which is expected to be available at www.sedar.com under Aphria’s profile.  Green Growth expects to formally commence the Offer and mail the Offer and take-over bid circular to Aphria shareholders over the coming weeks.

*Readers are cautioned that Green Growth may determine not to make the Offer if (i) Aphria implements or attempts to implement defensive tactics in relation to the Offer, (ii) Green Growth uncovers or its contemplated funding sources uncover or otherwise identify information suggesting that the business, affairs, prospects or assets of Aphria have been impaired or uncovers or otherwise identifies other undisclosed material adverse information concerning Aphria or (iii) Aphria determines to engage with Green Growth to negotiate the terms of a combination transaction and Aphria and Green Growth determine to undertake that transaction utilizing a structure other than a take-over bid such as a plan of arrangement.  Accordingly, there can be no assurance that the Offer will be made or that the final terms of the Offer will be as set out in this news release. ***In addition, the contemplated consummation of a concurrent brokered financing of C$300 million, at a price per share of C$7.00, and the contemplated backstop commitment in that regard, are subject to a variety of contingencies and conditions, including satisfactory completion of customary due diligence as to both Aphria and Green Growth, agreement on mutually agreeable definitive documentation, and other customary undertakings and conditions. No binding commitment of any kind has yet been made in this regard, and readers should not assume any such commitment will be made unless and until reflected in a binding instrument agreed by the contemplated funding sources, which cannot and should not be assumed or assured.**

The Offer will be undertaken in accordance with National Instrument 62-104 – Take-Over Bids and Issuer Bids and will be subject to a number of customary conditions, including: (i) there being deposited under the Offer, and not withdrawn, at least 66 2/3% of the outstanding Aphria Shares (calculated on a fully diluted basis), excluding Aphria Shares held by Green Growth; (ii) receipt of all governmental, regulatory, stock exchange and third party approvals that Green Growth considers necessary or desirable in connection with the Offer; (iii) there being no legal prohibition against Green Growth making the Offer or taking up and paying for the Aphria Shares; (iv) Aphria not having adopted or implemented a shareholder rights plan, disposed of any assets, incurred any material debts, implemented any changes in its capital structure or otherwise implemented or attempted to implement a defensive tactic; (v) no material adverse change having occurred in the business, affairs, prospects or assets of Aphria; (v) Green Growth not becoming aware of Aphria having made any untrue statement of a material fact or omitting to state a material fact that is required to be made to any securities regulatory authority; (vi) approval by the shareholders of Green Growth in accordance with the policies of the Canadian Securities Exchange; and (vii) the statutory minimum condition that 50% of the Aphria Shares having been tendered to the Offer, excluding Aphria Shares held by or over which control is exercised by Green Growth (which cannot be waived).  If the Offer proceeds, Green Growth expects to call during the first quarter of 2019 a meeting of its shareholders to consider a resolution to approve the issuance of the Green Growth Shares in connection with the Offer. *Green Growth expects the Offer, when made, will remain open for an acceptance period of at least 105 days from the date of mailing its take-over bid circular.  It is within the power of the Board of Directors of Aphria to significantly shorten this minimum bid period, allowing shareholders to receive the benefits of Green Growth’s offer in only 35 days.  Shareholders of the Company are encouraged to contact Aphria and to urge management and the Board to allow Green Growth’s takeover bid to proceed in the minimum time frame allowed.*
